FoxNotes Terms of Service and End-User License Agreement

This document establishes the Terms of Service and the End-User License Agreement of FoxNotes, hereinafter referred to as the “Agreement”. By installing, running, accessing, or using FoxNotes, you agree to be bound by the terms of this Agreement.
If you do not accept these terms, you must not install, run, or use FoxNotes.
1. Parties to the Agreement
This Agreement is entered into between you, as a user of FoxNotes, and Christopher D. Vargas A., hereinafter referred to as the “Licensor”, “Developer”, or “Author”.
FoxNotes is a local-first note-taking application designed to create, organize, edit, encrypt, view, export, and synchronize note files under the user’s control.
2. Definitions
For the purposes of this Agreement, the following definitions shall apply:
- FoxNotes or Software: The FoxNotes application, including its executable files, interface, icons, internal logic, documentation, associated components, installers, and any other elements distributed as part of the application.
- User: Any person who installs, runs, accesses, or uses FoxNotes.
- Licensor, Developer, or Author: Christopher D. Vargas A.
- Personal Use: Use carried out by a natural person, in a strictly personal, private, and non-corporate capacity, to store notes, files, or information unrelated to a company, organization, institution, or commercial activity.
- Corporate Use: Any use of the Software to store, process, organize, encrypt, synchronize, export, or generate documents related to organizational, business, institutional, commercial, administrative, operational, or professional data, trade secrets, confidential company information, internal documentation, business records, customer data, labor data, corporate project data, or any information used for the direct or indirect benefit of a company, organization, educational institution, non-profit entity, government entity, or lucrative activity.Corporate use includes, but is not limited to, using the Software to encrypt trade secrets, store internal documents, generate PDFs from organizational data, synchronize business information, or manage files belonging to an entity other than the user in their strictly personal capacity.Strictly personal use of the Software by a natural person in their own name shall not be considered corporate use, even if the application is installed on a general-use device, provided that the stored data is unrelated to the company, organization, or institution, and is not used for the operational, administrative, commercial, or professional purposes of said entity.
- User Data: Notes, images, files, passwords, encrypted containers, folders, filenames, textual content, exported documents, and any other content created, imported, managed, or stored by the user through FoxNotes.
- External Services: Synchronization, storage, or authentication providers chosen by the user, such as Google Drive, Dropbox, WebDAV servers, or other compatible services that may be added in the future.
3. Acceptance of Terms
By installing, running, or using FoxNotes, you declare that you have read, understood, and accepted this Agreement.
The acceptance of this Agreement also applies to the use of optional features such as encryption, PDF export, synchronization with external services, selection of local folders, and any other feature included in the Software.
If you use FoxNotes on behalf of another person, entity, organization, or company, you declare that you have sufficient authorization to accept these terms. However, corporate use requires a corporate license or prior written authorization from the Licensor, as established in this Agreement.
4. Grant of License
Subject to compliance with this Agreement, the Licensor grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use FoxNotes on your personal devices.
This license allows for the personal use of the Software. This license does not grant the user any ownership over FoxNotes, its code, design, icons, internal logic, name, visual identity, documentation, or any other intellectual property element belonging to the Licensor.
All rights not expressly granted in this Agreement are reserved by the Licensor.
5. Restriction on Corporate Use
Corporate use of FoxNotes is prohibited unless prior, express, and written authorization is granted by the Licensor, or unless a separately negotiated corporate license exists.

The fact that FoxNotes can technically store, encrypt, synchronize, or export business information does not constitute authorization for corporate use.
The use of FoxNotes to store organizational or business data, trade secrets, confidential corporate information, administrative documentation, customer files, internal data, or documents generated from such data constitutes corporate use and requires a separate authorization or license.
6. Use Restrictions
You agree not to perform any of the following actions:
- Decompile, disassemble, reverse engineer, or attempt to derive the source code of the Software.
- Modify, alter, or tamper with the executable files of the Software for redistribution purposes.
- Sell, rent, lease, sublicense, lend, resell, or redistribute FoxNotes without the express authorization of the Licensor.
- Use FoxNotes for corporate purposes without the corresponding authorization or license.
- Use FoxNotes to violate laws, third-party rights, copyrights, trade secrets, privacy, computer security, or any applicable regulations.
- Use the name, icons, appearance, visual identity, documentation, or structure of FoxNotes to create misleading derivative products.
- Remove, alter, or obscure copyright notices, trademarks, licenses, or attributions included in the Software.
- Use FoxNotes in a manner that could damage, interfere with, or compromise external services, third-party systems, or third-party infrastructure.
7. Intellectual Property
FoxNotes, its executable code, design, interface, icons, structure, internal logic, documentation, name, visual identity, and proprietary components are the exclusive property of the Licensor, except for third-party components that are subject to their own licenses.
The Software is protected by copyright laws, international intellectual property treaties, and other applicable regulations.
The user retains ownership of their own data, notes, images, files, documents, and content created or managed through FoxNotes.
Nothing in this Agreement transfers ownership of user content to the Licensor. Likewise, nothing in this Agreement transfers ownership of FoxNotes to the user.
8. User Data and Privacy
FoxNotes is designed under a local-first philosophy.
The Software does not collect personal information from the user, does not require registration with the Licensor, does not use advertising, does not use remote telemetry, does not use analytics systems, does not track the user, and does not transmit information to the Licensor.

In the event of a conflict between this Agreement and the Privacy Policy regarding data processing, the provision that grants the highest protection to the user over their data shall prevail.
9. Local Storage
FoxNotes stores notes and files in local locations chosen or authorized by the user.
The user is responsible for selecting, managing, protecting, backing up, and preserving the folders where they store their notes.
The Licensor does not have access to the user’s local folders, does not receive copies of the notes, and does not maintain any backup of the files created or managed through FoxNotes.
The user acknowledges that deleting, moving, overwriting, externally modifying, or corrupting files used by FoxNotes may cause data loss, unexpected behavior, or the inability to recover data.
10. File Formats and User Control
FoxNotes strives to use readable formats that can be controlled by the user, such as TXT files and standard images, when the content is not encrypted.
The user may access, copy, move, edit, back up, or delete such files using external operating system tools, under their own responsibility.
Encrypted containers require a specific internal structure to be encrypted and decrypted correctly. This structure exists out of technical necessity for the cryptographic system and does not imply that the Licensor has access to the content.
Encrypted files can only be decrypted through FoxNotes or through a compatible implementation of the encryption format, provided that the user retains the corresponding password.
11. Encryption and Lost Passwords
FoxNotes may include local data encryption features.
Encryption and decryption are performed on the user’s device. The Licensor does not receive, store, or know passwords, keys, hashes, salts, nonces, cryptographic metadata, or encrypted data belonging to the user.
The user acknowledges and accepts that the Licensor has no access and no human, computational, automated, or artificial intelligence-based capability to recover lost passwords or decrypt encrypted content without the corresponding password.
If the user loses or forgets the password for an encrypted note or container, the data may become permanently unrecoverable.
The user assumes full responsibility for preserving their own passwords, backups, and recovery methods.
12. Optional Synchronization
Synchronization in FoxNotes is completely optional.
The user can use FoxNotes without activating any synchronization system.
If the user decides to activate synchronization, files will be sent solely to the external service chosen and authorized by the user, such as Google Drive, Dropbox, a WebDAV server, or another compatible provider.
The Licensor does not act as a synchronization intermediary, does not receive synchronized files, does not store copies, does not process user data, and does not keep synchronization logs.
The user acknowledges that synchronization may depend on external factors, such as internet connection, provider availability, quotas, API limits, changes in external services, credentials, permissions, file conflicts, differences between devices, network errors, operating system restrictions, or unforeseen Software failures.
13. External Services
The use of external services such as Google Drive, Dropbox, WebDAV, or others is subject to the terms of service, privacy policies, technical limits, availability, security rules, and data retention practices of those providers.
FoxNotes does not control these external services and does not guarantee their operation, availability, continuity, compatibility, security, or integrity.
The user is responsible for reviewing and accepting the applicable terms of any external provider they choose to use.
The Licensor shall not be liable for losses, errors, interruptions, conflicts, deletion of files, data corruption, authentication failures, or any other problem caused by external services or by the interaction between FoxNotes and said services.
14. PDF Export and Document Generation
FoxNotes may include functions to export notes or user content to PDF or other formats.
The user is solely responsible for the exported content, the use made of the generated documents, and for verifying that the exported information is correct, complete, and suitable for their purposes.
The use of FoxNotes to generate PDFs or other documents from organizational data, business data, trade secrets, or corporate information constitutes corporate use and requires the corresponding authorization or license.
The Licensor does not guarantee that the PDF export will always perfectly preserve the formatting, images, styles, structure, wiki syntax, links, or visual content.
15. User Responsibility
The user is responsible for:
- Performing regular backups of their files.
- Verifying that their notes are saved correctly.
- Verifying that synchronization works correctly before relying on it.
- Preserving their encryption passwords.
- Protecting their devices and external accounts.
- Managing access permissions to their folders and external providers.
- Avoiding accidental deletion, overwriting, or modification of important files.
- Complying with applicable laws.
- Not using FoxNotes to store, generate, or distribute illegal content or content that infringes third-party rights.
- Evaluating whether FoxNotes is suitable for their needs before using it with important information.
The user acknowledges that all software may contain errors, undetected bugs, incompatibilities, or unexpected behaviors.
16. Updates
FoxNotes may receive updates, corrections, enhancements, interface changes, behavior changes, new features, or the removal of existing features.
Updates will be mostly manual, meaning that the user may need to download and install new versions from the official website or other channels authorized by the Licensor.
In the future, FoxNotes might include an automatic update option. Any automatic update mechanism will be optional and must be enabled or accepted by the user according to the application’s design.
The Licensor does not guarantee that all previous versions will remain indefinitely compatible with future versions, external services, operating systems, or internal formats.
17. Testing Phases and Undetected Errors
The user acknowledges that FoxNotes may have undergone development phases, internal testing, external testing, debugging, and technical review, but that no testing process can guarantee the absolute absence of errors.
There may be bugs, software failures, synchronization errors, encryption errors, interface issues, data loss, incompatibilities, race conditions, cache failures, export errors, file reading or writing failures, problems with external services, or defects not found during the testing phases.
The user agrees to use FoxNotes at their own risk and with full knowledge that the Software may fail.
18. Disclaimer of Warranty
FoxNotes is provided “as is” and “as available”, without warranty of any kind, express, implied, statutory, or otherwise.
The Licensor does not guarantee that FoxNotes:
- Is error-free.
- Will operate uninterruptedly.
- Is compatible with all systems, devices, configurations, or external providers.
- Meets the specific needs of the user.
- Preserves data without risk of loss, corruption, or modification.
- Will always synchronize correctly.
- Exports documents without errors.
- Recovers encrypted data if the user loses the password.
- Is suitable for professional, corporate, critical, legal, medical, financial, governmental, or highly sensitive use.
All implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement, are excluded to the maximum extent permitted by applicable law.
19. Limitation of Liability
To the maximum extent permitted by applicable law, the Licensor shall not be liable for any damage, loss, claim, cost, expense, or consequence arising from the use, misuse, inability to use, failure, or unexpected behavior of FoxNotes.
This includes, but is not limited to:
- Data loss.
- File corruption.
- Accidental or unexpected deletion of files.
- Synchronization failures.
- Conflicts between file versions.
- Loss of passwords.
- Inability to decrypt notes.
- Failures of external services.
- Failures of Google Drive, Dropbox, WebDAV, or other providers.
- Bugs undetected during testing.
- Update failures.
- Loss of productivity.
- Loss of income.
- Loss of opportunities.
- Indirect, incidental, special, exemplary, punitive, or consequential damages.
- Third-party claims.
- Damages resulting from unauthorized corporate use.
The user agrees that they use FoxNotes at their own risk and that the Licensor assumes no civil, contractual, tort, strict, subjective, direct, or indirect liability for losses derived from the use of the Software, to the maximum extent permitted by applicable law.
20. Waiver of Claims
By using FoxNotes, the user acknowledges and agrees that the Software is provided without warranty and under the sole responsibility of the user.
To the maximum extent permitted by applicable law, the user waives the right to file claims, actions, lawsuits, or litigious demands against the Licensor for damages, losses, data corruption, loss of information, loss of passwords, software failures, undetected bugs, synchronization errors, export errors, misuse of the Software, or inability to use the Software.
This waiver is understood to be applicable only to the extent permitted by current legislation and is not intended to exclude liabilities that cannot be excluded by law.
21. Indemnification
The user agrees to indemnify, defend, and hold harmless the Licensor against any claims, damages, losses, liabilities, costs, or expenses arising from:
- Improper use of FoxNotes.
- Unauthorized corporate use.
- Breach of this Agreement.
- Violation of applicable laws.
- Infringement of third-party rights.
- The use of FoxNotes to store, process, synchronize, or distribute illegal or confidential content, or content belonging to third parties without authorization.
- Claims arising from user content.
22. Termination
This license will remain in effect until terminated.
The user’s rights under this Agreement will terminate automatically, without prior notice, if the user breaches any of its terms.
Upon termination, the user must cease all use of FoxNotes and destroy any unauthorized copies of the Software.
The termination of the license does not eliminate the user’s ownership over their own files or data. However, the user will remain responsible for preserving their own passwords, backups, and means of access to their data.
23. Changes to These Terms
The Licensor may update these Terms of Service and End-User License Agreement from time to time.
When material changes are made, the date indicated at the beginning of the document will be updated.
Continued use of FoxNotes after the publication of changes implies acceptance of the updated version of the Agreement.
If the user does not accept the changes, they must stop using FoxNotes.
24. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Costa Rica, unless an applicable mandatory rule provides otherwise.
Any controversy related to this Agreement, FoxNotes, or the use of the Software shall be submitted to the competent jurisdiction in accordance with applicable legislation.
25. Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a competent authority, such provision shall be enforced to the maximum extent permitted or shall be deemed severed from the Agreement, without affecting the validity and enforceability of the remaining provisions.
26. Entire Agreement
This document, together with the FoxNotes Privacy Policy, constitutes the entire agreement between the user and the Licensor regarding the use of FoxNotes.
Any authorization, special license, corporate permission, or exception must be in writing and expressly accepted by the Licensor.

28. Final Statement
FoxNotes is offered as a local-first tool so that the user can create, organize, encrypt, view, export, and synchronize their notes under their own control.
The user retains ownership of their data, but assumes the responsibility to protect it, back it up, manage it, and use the Software appropriately.
By using FoxNotes, the user declares that they understand and accept the risks inherent in the use of software, local storage, encryption, synchronization with external services, and management of digital files.
